Our client, a leading FMCG company, is looking to hire a Company Secretary with 4-6 years of experience in a listed company for their Bangalore office.
Role Overview
Independent ownership of stock exchange, unlisted public company, and shareholder compliances with zero non-compliance
Act as the primary point of contact for stock exchanges, RTAs, and investors
Lead SEBI LODR compliances, board and AGM filings, and track regulatory updates
Manage end-to-end annual reporting, including Annual Report and BRSR
Handle secretarial compliances under Companies Act, 2013 and FEMA for unlisted entities
Maintain statutory registers and coordinate with auditors and internal stakeholders
Oversee shareholder management – transmission, duplicate shares, dividends, IEPF filings/claims, investor grievances, and RTA liaison
Key Requirements
Qualified Company Secretary with 4–6 years’ post-qualification experience
Strong knowledge of Companies Act, 2013, SEBI LODR, and Secretarial Standards
Excellent drafting and documentation skills
High ownership mindset with experience in listed/unlisted company compliances and shareholder & IEPF matters
